Counsel, GM Asset Management
The Role
GM is seeking a Counsel, GM Asset Management to support the legal needs of GM Asset Management and its investment management activities. This role will advise on legal issues arising from the management of GM pension assets and retirement-related investment programs, including ERISA, fiduciary, investment, and transactional matters. This role will report to the Director and Lead Counsel, Corporate Finance and will work closely with GM Asset Management Leadership and stakeholders across Legal, Compliance, Controllership and Operations to deliver practical, business-oriented legal advice. The position requires strong technical judgment, practical business sense, and the ability to work independently in a dynamic environment.
What You’ll Do

Provide legal support for GM Asset Management and its investment management activities, including its work on behalf of GM retirement plans (including both U.S. and non-U.S. plans)

Advise on ERISA, fiduciary, pension, and employee benefit plan matters relating to investment management, plan assets, and retirement programs

Support the legal aspects of external manager selection, onboarding, monitoring, and retention, as well as investment option and portfolio-related matters

Advise on transactions involving private equity funds, real estate, hedge funds, and other alternative investments

Support legal matters involving separate accounts, externally managed mandates, and other institutional investment structures

Advise on broader corporate, governance, regulatory, and transactional matters relevant to GM Asset Management’s activities

Coordinate with cross-functional partners within GM Asset Management and with stakeholders across GM

Help build, improve, and streamline legal and operational processes supporting investment management and fiduciary oversight

Exercise sound judgment and manage matters with limited direction

Develop strong, trusted relationships with business clients
Required Qualifications
-
Juris Doctor degree
-
Active membership in at least one U.S. state bar, or eligibility to register as in-house counsel in the applicable jurisdiction
-
Minimum of 4 years of relevant legal experience, including substantial experience advising institutional asset managers, pension fiduciaries, retirement plan sponsors, or similar sophisticated investment organizations

Experience advising on investment management, ERISA, fiduciary matters, pension plans, and employee benefit plan matters

General corporate transactional experience

Excellent judgment and strong problem-solving skills

Strong written and verbal communication skills

Ability to build effective relationships with clients and stakeholders

Growth mindset and an ability to work independently, manage uncertainty, and navigate evolving priorities
Preferred Qualifications
-
Experience advising an institutional investment manager, pension investment office, OCIO, or large retirement plan platform
-
Experience with fund formation, investment structuring, and hedge fund, private equity, and other alternative investment transactions

Familiarity with external investment manager arrangements, separate accounts, and investment management documentation, including investment management agreements, fund subscription documentation and side letters
-
Experience balancing legal risk, fiduciary obligations, business objectives, and operational practicality
-
Experience improving legal or business processes in sophisticated organizations
-
Demonstrated track record of being self-directed in a complex, high-responsibility environment
-
Ability to work in person in Detroit or New York
-
Relevant experience may be gained in-house (preferred), at a law firm, with a fiduciary adviser, or in another role involving sophisticated ERISA, pension investment, or institutional asset management matters
Location: Hybrid. This role is categorized as hybrid. This means the successful candidate is expected to report to the Detroit HQ, or New York City office three times per week, at minimum [or other frequency dictated by the business]
